The UCC control system for commercial transaction origination and management

One platform connects who a business is, who may act for it, and the electronic originals a lender relies on — from first verification to archived closing — designed to support the entire lifecycle of commercial transactions in 100% electronic form.

Know Your Signer℠ — verified business identity and signing authority

Signifyde authenticates the legal entity itself — that it exists, that it is in good standing, and that the individuals acting for it actually hold the power to bind it. That verification is persistent: established once, it is relied on across every deal and every counterparty, so a lender is never re-proving the same borrower and a borrower is never re-papering the same facts.

Verified identities stay trustworthy because they stay current. When authority changes — an officer leaves, a resolution is superseded — the identity automatically de‑authenticates and every user relying on it is alerted. The same persistent, evidenced identities serve AML, KYC, and counterparty-onboarding programs without re-verification.

Legal permissions

Legal permissions govern who can view, edit, manage, and sign for each business on each deal — the working connection between authenticated people and verified businesses. Counsel, officers, lenders, and vendors each act in their proper legal capacity, and the record proves it.

Electronic note control under UCC Article 12

Commercial notes are originated, held, pledged, and transferred as controllable electronic records with legal control — the mechanism the 2022 UCC amendments created for electronic originals. A lender takes and perfects its interest through control of the record rather than possession of paper. How the law works. What origination must establish from the record’s first moment: Born Controllable.

Closings, run the way legal counsel run them

Live Checklist® mirrors how lenders’ counsel actually manage a closing: every condition tracked live, every party working from the same record. Business signatures are designed to ESIGN and UETA enforceability requirements on high-value documents — with attorney-issued legal assurance products standing behind the facts a signature rests on: the entity, the authority, the documents. When the deal closes, the platform produces a complete, auditable closing binder and a permanent archive — evidence, not just storage.

Legal assurance products

A legal assurance product is a discrete, productized legal work product on which an identified third party relies in order to accept legal or economic risk, for a fixed fee under defined scope and liability terms. Counterparty reliance is the defining element.

Products issuing through the Signifyde attorney network today:

Entity-authority reviews and signature-block certification. A licensed attorney’s review of who the borrower is and who may sign for it, certified to the party relying on it.

State-law loan document review letters. Licensed local counsel’s review of loan documents for state-law compliance — a standardized product a lender can order on every deal, in every state, at a known price.

Closing services. Attorney closings that satisfy state practice requirements, delivered inside the same controlled record as the rest of the transaction.

Power-of-attorney services. Sometimes a deal needs a signer, not just a review — a person with documented authority to execute assignments, releases, and closing documents on a lender’s behalf. A licensed attorney from the Signifyde network takes that seat: identity verified, appointment documented, authority certified, so every instrument signed in that capacity carries proof of the power behind it.

Every product is issued by a licensed attorney through the attorney’s own firm and backed by professional liability. The platform standardizes scope, fee, and delivery, and preserves the evidence of reliance — who issued what, to whom, on which facts, on which deal.

One architecture, three issuing channels

The issuing architecture runs deeper than the attorney network. The platform is built to stand behind legal assurance three ways: products issued by licensed attorneys through their own firms, backed by professional liability; Signifyde® warranties — platform-issued certifications carrying a fee, a defined remedy, and a capped limit; and an underwriter-backed channel, for facts a counterparty wants an insurer standing behind. One closing workflow, one evidentiary record, three ways to say “you can rely on this.” The arc was in the name from the founding: Insuring Identity®.

Built for what comes next

A controllable electronic record is a digital asset in the statute’s own terms — ownable, transferable, perfectible, capable of being taken free of competing claims. Everything the market is now building toward — digital collateral, interests that divide and trade, tokenized-asset rails, a commercial secondary market — assumes those legal facts can be established for every record, from origination on. That is the layer Signifyde operates today — digital asset control as legal infrastructure, not another application. Law defines what a digital asset is; infrastructure decides whether the law’s requirements were actually met. For incumbents, Signifyde is the fastest way to implement a UCC Article 12 control system: the architecture is built, and it integrates beneath the systems the market already runs — loan origination and servicing platforms, title and settlement workflows, document-execution and eVault tools, entity and lien data services, onboarding and AML/KYC checks, and the errors-and-omissions and warranty programs that stand behind professional work.
